Introduction
This End-User License Agreement (“EULA”) is a legal agreement between you (“User”, “you”, or “your”) and Noetech Open Source Software (“Company”, “we”, “us”, or “our”) for the use of the Terraprep command line application (“Software”) provided by the Company. By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA.
Agreement
Grant of License
1.1. Subject to the terms of this EULA, the Company grants you a world-wide, royalty-free, non-exclusive license to use the Software for personal & commercial purposes.
1.2 You are allowed to freely distribute the software and its copies without permission.
Beta and Alpha Release
2.1. The Beta version of the Software is provided as is, and it is not recommended for use in production environments until the alpha release.
2.2. You acknowledge and agree that the Software may contain bugs, errors, or other issues and that the Company disclaims any warranty or liability relating to the use of the Software in its beta state.
Usage Data Collection
3.1. The Software may request your explicit consent to collect usage data. If you opt-in, the Company may collect, store, and analyze data regarding your use of the Software to improve its functionality and performance.
3.2. Any collected usage data will be treated in accordance with our Privacy Policy.
Intellectual Property Rights
4.1. All intellectual property rights in the Software and its underlying technology, including but not limited to copyrights, patents, trademarks, and trade secrets, are and shall remain the exclusive property of the Company.
4.2. You shall not modify, decompile, reverse engineer, or create derivative works based on the Software, except as expressly permitted by applicable law.
Termination
5.1. The Company may terminate this EULA at any time, with or without notice, if you fail to comply with any of its terms and conditions.
5.2. Upon termination, you shall cease using the Software and destroy all copies in your possession or control.
Disclaimer of Warranties
6.1. The Software is provided “as is” and “as available” without any warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
7.1. In no event shall the Company be liable for any direct, indirect, incidental, consequential, or special damages (including, without limitation, damages for loss of data or profits) arising out of or in connection with this EULA or the use or performance of the Software, whether based on contract, tort, or any other legal theory, and whether or not the Company has been advised of the possibility of such damages.
Governing Law and Dispute Resolution
8.1. This EULA shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of laws provisions.
8.2. Any disputes arising out of or relating to this EULA or the Software shall be resolved by arbitration in the United Kingdom, in accordance with the rules of the London Court of International Arbitration.
Open Source Intent
9.1. The Company intends to eventually open source the Software, in order to foster a community and promote collaboration. However, to maintain quality and control over contributors, the Software will remain closed source for the foreseeable future, at least until the alpha release and for some time thereafter.
9.2. The Company, at its sole discretion, may decide when to make the Software open source, and you acknowledge and agree that the timeline and process for transitioning to open source may change without prior notice.
By installing, copying, or otherwise using the Software, you confirm that you have read, understood, and agree to be bound by this End-User License Agreement.
